Terms of Service
These terms are an agreement between you and LyriSync. By creating an account or using the service you accept them. If you do not accept them, do not use the service.
Who you are dealing with
LyriSync is a trading name of Lyrisync, Clarence Street, Lincoln, Lincolnshire, LN1 3JP. You can reach us by email using the contact link at the foot of every page.
1. What LyriSync does
LyriSync takes an audio file you upload and lyrics you supply, and returns timing data: a start and end time for each word and each line, exported as SRT, JSON or similar formats. It separates the vocal from the instrumental in order to do this.
LyriSync does not transcribe your audio and does not supply lyrics. It never has, and never will, host or distribute a lyrics database. You bring the words, we return the timings.
2. Your content and your rights to it
You keep all rights in the audio and lyrics you upload. We claim no ownership of them.
You confirm that you own the audio you upload or otherwise have the right to upload, process and licence it as set out below, and that doing so does not infringe anyone else's copyright or other rights. You are responsible for how you use the timing data we return, including in any video or other work you publish.
You grant us a limited licence to store and process your uploaded audio, and any corrections you make to its timing, for the purposes and time periods our Privacy Policy sets out, including using them, for five days after processing, to measure and improve the accuracy of the aligner. That licence ends when the audio is deleted. We do not share your files with anyone except the infrastructure providers listed in our Privacy Policy, who process them on our instructions in order to run the service.
3. Accuracy, and what to expect
LyriSync is an automated alignment tool. It is accurate on most material and it is not accurate on all material. We tell you before your first sync what affects the result, and that guidance is part of these terms.
In particular, and without limiting the disclaimer in section 8:
- The service times the words you give it. Lyrics that do not match what is sung, whether through missing lines, extra lines, wrong words or the wrong version of a track, will produce timings that are wrong, and that is not a fault in the service.
- Audio in which the vocal is hard to make out, because of heavy processing, a dense or distorted mix, several voices at once, or unusual delivery, will produce less accurate timings.
- Content at the start of a track that you have not included in your lyrics, such as a producer tag, an ad-lib or a spoken intro, will affect where the opening words are placed.
- Five languages are supported: English, French, German, Italian and Spanish. You choose the language when you upload, and it decides how the words are pronounced for alignment, so the wrong choice will produce wrong timings. Italian has had less testing than the other four. Lyrics in any other language, or in a script other than the Latin alphabet, are not supported.
- You should expect to review the result and make some adjustments. The editor exists for that purpose and is part of the product, not a workaround.
We do not warrant that any particular result will meet your expectations, be free of errors, or be usable without correction.
4. Credits
Processing is paid for with credits, measured in minutes of audio. You are charged for the length of the audio you submit, rounded up to the nearest second and billed as that fraction of a minute, at the point the job starts.
- If a job fails for a technical reason on our side, the credit is returned to your balance automatically. If that does not happen, contact us and we will put it right.
- Credits consumed by a job that completed are not returned because you are unhappy with the accuracy of the result. Section 3 explains why, and you are shown that guidance before you spend anything.
- Where the service detects that it has mishandled the opening of a track, you can re-align that track once at no cost.
- New accounts start with a small number of free minutes. That grant is one per account, is not a promise to keep offering it, and may be changed or withdrawn for future accounts at any time. Any minutes granted without payment, whether on signup or during a promotion, work exactly like purchased ones except that they are not refundable in money, because no money was paid for them.
- Credits do not expire unless we tell you otherwise at the point of purchase. Credits have no cash value and cannot be transferred or exchanged for money.
Where you are a consumer, nothing in this section removes your statutory rights. In particular, you have 14 days from a purchase to cancel it and have the money back for any minutes you have not used; contact us and we will refund the unused part. Because processing begins the moment you start a job, starting one is your express request for us to begin the service inside that 14 day period, and you acknowledge that once a job has run you can no longer cancel it or have its minutes back. The upload screen says this again next to the button that starts the job.
5. Acceptable use
You must not use LyriSync to:
- process audio you do not have the right to process, or use the output in a way that infringes someone else's rights;
- attempt to reconstruct, extract or redistribute any part of the service, its models or its outputs beyond your own use of the timing data;
- circumvent credit metering, share account access, or automate submissions in a way that is not through the normal interface;
- upload material that is unlawful, or that you have been told to stop processing.
We may suspend or close an account that breaches this section. Where we do so without cause, we will refund unused credits.
6. If a result looks wrong
Contact us. Keep the exact audio file and the exact lyrics you used, because we will normally need both in order to look at what happened. Without them there is very little we can tell you, and we may not be able to investigate at all. We keep your audio for five days after processing, as described in our Privacy Policy, so we may still hold a copy within that window; after it is deleted we will ask you to send the file again.
7. Availability and changes
We may change, suspend or withdraw any part of the service. We will give reasonable notice of a change that materially reduces what you have already paid for, and will refund unused credits if we withdraw the service entirely.
8. Disclaimer of warranties
The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we exclude all warranties, conditions and terms implied by statute or common law, and we make no warranty that the service will be uninterrupted, secure or error free, or that any result will be accurate, complete, reliable or fit for a particular purpose.
9. Limitation of liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, we are not liable for loss of profit, loss of business, loss of goodwill, loss or corruption of data, or any indirect or consequential loss, however arising. Our total liability to you for all claims connected with the service is limited to the greater of the amount you paid us in the twelve months before the claim arose, or fifty pounds sterling.
If you are a consumer, this section does not affect your statutory rights.
10. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in your own jurisdiction.
11. Changes to these terms
We may update these terms. If a change is material we will tell you, and where it affects how your work is processed we will ask you to acknowledge it before your next job. Continuing to use the service after a change means you accept it.
